NorthStarSoftware provides website development, app development, and digital marketing services for small businesses. Our services include but are not limited to:

3. User Accounts
When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
4. Client Responsibilities
As a client of our services, you agree to:
- Provide accurate and complete information necessary for the completion of services
- Review and approve deliverables in a timely manner
- Pay all fees when due
- Comply with all applicable laws and regulations
- Obtain necessary permissions for any content provided to us
5. Intellectual Property
Client Content: You retain ownership of all content you provide to us, including text, images, and other materials (“Client Content”). You grant us a license to use the Client Content solely for the purpose of providing our services to you.
Our Content: We retain ownership of all materials, code, designs, and other intellectual property that we create in connection with our services, except for Client Content and deliverables for which full rights have been transferred upon final payment.
Deliverables: Upon receipt of full payment, you will own all deliverables specifically created for you, except for third-party software, our proprietary tools, and frameworks that may be incorporated into the deliverables.
6. Payment Terms
Payment terms are specified in your service agreement or proposal. Generally, we require a deposit before beginning work, with the balance due upon completion or according to an agreed-upon payment schedule.
Late payments may incur additional fees. We reserve the right to suspend services if payments are overdue.
7. Project Timelines
We will make reasonable efforts to complete services according to agreed-upon timelines. However, timelines may be adjusted due to:
- Changes to project scope
- Delays in receiving client content or feedback
- Technical challenges or unforeseen circumstances
8. Change Requests
Changes to the agreed-upon scope of work may require additional time and costs. All change requests must be submitted in writing and may require a revised proposal or addendum.
9. Limitation of Liability
To the maximum extent permitted by law, NorthStarSoftware shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, arising out of or in connection with our services, whether based on warranty, contract, tort, or any other legal theory.
Our total liability for all claims is limited to the amounts paid by you for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
10. Termination
Either party may terminate services with written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving notice. Upon termination:
- You will pay for all services provided up to the termination date
- We will deliver all completed work for which payment has been received
- Any licenses granted may terminate, depending on the terms of your service agreement
11. Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to display and link to completed projects as part of our portfolio and to describe our services for marketing purposes.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify clients of material changes and post updated Terms on our website. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
